Fermerce Terms and Condition

Definitions and Interpretation

In this Agreement, unless the context otherwise requires:

  • Platform means the Fermerce mobile application, website, and any associated services.
  • User refers to any person who registers on Fermerce, including both Buyers and Farmers.
  • Farmer refers to a registered seller who lists agricultural products for sale on the Platform.
  • Buyer refers to a user who purchases products from Farmers via the Platform.
  • Products refer to fresh farm produce or agricultural goods listed on Fermerce.
  • Order means a transaction initiated by a Buyer to purchase a listed Product.
  • Logistics Partner refers to third-party or internal delivery service providers contracted to handle delivery of Products.
  • All headings in this Agreement are for convenience only and shall not affect the interpretation of the terms.

General Provisions

  • Modification of Terms: Fermerce reserves the right to amend these Terms and Conditions at any time. Updated terms will be posted on the Platform and will become effective upon publication. Continued use of the Platform after changes are made constitutes acceptance of the revised Terms.
  • Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
  • Entire Agreement: These Terms and Conditions, along with our Privacy Policy and any other legal notices published by Fermerce, constitute the entire agreement between you and Fermerce with respect to the Platform.

Pricing Policy

  • Price Determination: Prices for Products are set solely by the Farmers, not Fermerce. Fermerce may suggest pricing guidelines, but final pricing authority rests with the Farmer.
  • Displayed Prices: All prices displayed on the Platform are in Nigerian Naira (₦) and include applicable taxes unless otherwise stated. Buyers are responsible for any delivery fees, which may vary by location and order weight.
  • Promotional Pricing: Fermerce may, at its discretion, provide discount codes or run promotional campaigns. These promotions may be time-bound and are not redeemable for cash.

Terms of Payment

  • Accepted Payment Methods: Fermerce supports:
    • Debit Cards
    • Bank Transfers
    • Fermerce Wallet (where applicable)
  • Payment Timing: Buyers must complete payment at checkout. Orders will not be confirmed until payment is received. Farmers receive payment within 24–48 hours after successful order delivery and buyer confirmation.
  • Payment Gateway Fees: Payment processing fees may apply and will be transparently disclosed at checkout. Fermerce is not responsible for delays caused by third-party payment processors.
  • Refunds and Disputes: Refunds are issued in cases of non-delivery, damaged goods, or order cancellation (within applicable timeframes). All refund requests must be made within 24 hours of delivery.

Product Information and Quality Standards

  • Product Descriptions: Farmers must ensure that product listings are accurate and truthful. Listings must include:
    • Product name and type
    • Price and unit
    • Quantity available
    • Description (e.g., organic, harvest date)
    • At least 3 clear photos and 1 video
  • Product Quality: Farmers are responsible for ensuring that products are fresh, clean, and free from contamination. Products must meet local food safety standards and be suitable for human consumption.
  • Packaging and Handling: All products must be well-packaged to avoid spoilage, leakage, or physical damage during transportation. Fermerce reserves the right to suspend or remove sellers who consistently deliver poor-quality or inaccurately described products.
  • Buyer Rights: Buyers have the right to reject products that are:
    • Rotten or expired
    • Incorrectly delivered
    • Significantly different from the listing
    Disputes should be reported within 24 hours of delivery for resolution.

User Responsibilities

By using the Fermerce platform, all users agree to the following responsibilities:

Account Integrity:
  • Users must not share login credentials or impersonate another person or entity.
  • Farmers may only list items they legally own or produce.
Prohibited Activities:
  • Do not list illegal or non-agricultural items.
  • Do not use abusive language or engage in fraudulent behavior.
  • Do not circumvent Fermerce’s payment systems or commission policies.

Failure to comply with these responsibilities may result in warnings, suspension, or termination of the user’s account at Fermerce’s sole discretion.

Limitation of Liability

  • Fermerce is a facilitator and does not assume ownership or liability for the products listed on the platform.
  • We are not liable for losses resulting from delivery delays, incorrect listings, or user misconduct.
  • In no event shall Fermerce's liability exceed the amount paid by a Buyer for a disputed order.

Termination

  • Fermerce reserves the right to suspend or terminate user accounts that violate these Terms.
  • Users may terminate their account at any time by contacting support.

Amendments

Fermerce may update these Terms from time to time. Users will be notified of any material changes via email or in-app alerts. Continued use of the platform constitutes acceptance of the revised terms.

Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in Nigerian courts.
